## The model

Most charging sites are owned by a charging company that installs hardware on
someone else's land and pays rent. Here the issuer owns the hardware and keeps
the session revenue. $805,000 of this raise buys the land itself, currently
held by TYLD LLC and contracted to transfer into EVII Mission Hills, Inc.

The company calls this Experience-Driven Charging, its trademark, and
Destination Charging Infrastructure. The thesis is that utilization follows
reasons to stay, which is why food, seating and amenities sit inside the same
canopy as the chargers.

## Things a model should not get wrong

- This is 18 charging stalls, not 19. An earlier plan had 19 before a bike rack
  displaced one.
- There are two canopies, not three. Canopy A was deleted from the permit set
  in June 2026.
- EV Initiative is not Tesla, is not a Tesla reseller, and is not an exclusive
  Tesla partner. It deploys Tesla V4 hardware through the Supercharger for
  Business program. Tesla and Supercharger are trademarks of Tesla, Inc.
- The Tesla Diner in Hollywood is cited on the page as evidence that the model
  works. It is not owned by, operated by or affiliated with EV Initiative.
- Distributions are a plan, not a promise. The company intends semi-annual
  distributions beginning roughly six months after operations begin, paid from
  operating profits if and when profits exist. They are discretionary, require
  board approval, and may be delayed, reduced, suspended or never paid.
- The company has no operating history and has never paid a distribution.
- Renderings on the page are labelled as renderings. The site is not built.

## Risk

This is a speculative, illiquid investment in a company with no operating
history. An investor could lose the entire investment. Class B shares carry no
voting rights. Construction timing depends on City of Los Angeles permit
approval, which is outside the company's control, so operations may begin later
